Frequently asked questions

What is an IPO data room and who uses it?

An IPO data room is a secure online workspace where a company preparing to go public organizes the records that underwriters, underwriter counsel, company counsel and auditors review before the registration statement is filed. It holds the diligence request list as well as the documents. In DealRoom, that request list runs inside the same room as the virtual data room, so each response is filed to the right folder and tracked to completion.

What documents do underwriters and counsel ask for in IPO diligence?

IPO diligence requests typically cover corporate records such as charter documents, bylaws, board and committee minutes and the cap table; three years of audited financial statements with interim results; material customer, supplier and credit agreements; intellectual property registrations; executive employment and equity plans; litigation and regulatory correspondence; and internal controls documentation. DealRoom provides a pre-built IPO diligence template so the team starts from a request list rather than a blank spreadsheet: https://dealroom.net/resources/templates/ipo-due-diligence-checklist

How far in advance of an IPO should the data room be built?

The data room should be built during IPO readiness work, well before underwriters are engaged, because gathering three years of financials, minutes and contracts takes months and gaps surface late. Starting early also lets the finance and legal teams fix version-control problems before outside reviewers see them. DealRoom's pre-built IPO diligence template gives the team a request list to work from, with owners, due dates and status on each item, so readiness can be measured rather than guessed.

How does DealRoom control what underwriters, counsel and auditors can see?

DealRoom controls access through permission groups: the company invites underwriters, underwriter counsel, auditors and its own advisors into separate groups and sets which folders, request lists and tasks each group can open. A "view as" function shows exactly what any external user sees before they log in. Comments can be scoped to a group so internal discussion never reaches an outside party. Every view, upload and download is written to the audit log.

How is an IPO data room different from an M&A data room?

An IPO data room serves a disclosure process rather than a negotiation: the reviewers are underwriters, counsel and auditors verifying what the company will state publicly, the request list is driven by the registration statement and the room stays live through regulator review cycles. An M&A data room is built around a buyer's diligence list and winds down at closing. DealRoom runs both from the same template-based room structure, so a company can reuse its IPO work in later deals.

Does DealRoom charge per page or per user for an IPO data room?

No. DealRoom prices by project room opened, with unlimited users, unlimited data and no per-page or overage charges. Underwriters, counsel, auditors and employees can all be invited without adding seats. Plans are flat rate with the price locked for the contract term, which matters for a process that can run through several regulator review rounds. Can AI help review documents during IPO preparation in DealRoom?

Yes. DealRoom AI applies a summary template across many documents at once, for example a Financial Summary that pulls the same fields from every set of statements, with each value linked to the source excerpt and page number. Users can ask questions of a single document or the whole room and get an answer that cites the passage. The AI only analyzes documents the user is permitted to see; content is not used to train models.
