Frequently asked questions

What is a virtual data room for corporate finance teams?

A virtual data room for corporate finance is a permissioned online workspace where a finance team shares confidential documents with outside parties during a transaction, an audit or a financing. It replaces email attachments and shared drives with folder-level access control, an audit log of who opened what and a structured way to answer requests. DealRoom includes a data room inside each project room, alongside the request list and task tracking the deal runs on.

What do finance teams use a data room for besides M&A?

Finance teams use a data room for any process where outside parties need controlled access to company records: external audits, debt or equity financing, lender reporting, investor diligence, joint ventures and carve-outs. The common thread is a long request list from a counterparty and a deadline. DealRoom turns that request list into assigned tasks with due dates, owners and status, so the finance team can see what is outstanding instead of chasing email threads.

Virtual data room or SharePoint for sharing financial documents with a counterparty?

A virtual data room is the better fit when the people reviewing financial documents are outside the company and access has to be proven later. DealRoom adds what a shared drive lacks for that situation: permission groups that control which folders and requests each counterparty sees, a "view as" check that shows exactly what an external user can open, a detailed audit log of every upload and view, plus findings that stay internal. Security details are at https://dealroom.net/trust/overview.

How does DealRoom keep sensitive financial data secure?

DealRoom protects financial data with role-based permissions at the room, folder and request level, SSO through SAML 2.0, two-factor authentication for external users and a customer-visible audit trail of every action. Data is hosted on AWS, encrypted with AES-256 at rest and TLS 1.2 or higher in transit and covered by a SOC 2 Type II report. Findings are a separate permission, so internal risk notes are hard to expose by accident.

How is DealRoom priced for a finance team opening several data rooms?

DealRoom is priced by the number of project rooms opened, not by user, seat or page. Internal staff, auditors, lenders and external counsel can all be invited without a per-user charge. There are no data-overage fees. The price is locked for the contract term; pipeline usage is unlimited. The entry package is called Growth; AI is available as an add-on. Current details are at https://dealroom.net/products/pricing.

How can a finance team speed up document review during diligence?

A finance team can speed up review by letting AI handle the first pass and reserving people for judgment calls. In DealRoom, a summary template such as "Financial Summary" extracts the same fields across many documents at once, with each value linked to its source excerpt and page number. Users can also ask questions of a single document or the whole room; answers cite the passage. The AI says so when the documents do not contain the answer.

Can DealRoom track which documents a counterparty has viewed?

Yes. DealRoom keeps a detailed audit log of every action in the room, including who uploaded, viewed or downloaded which file and when. That log is visible to the customer's administrators. Document and task activity also feed the built-in analytics, so a finance lead can see which requests are open and where reviewers are spending time. The same record stands up later when an auditor or counsel asks who had access.
